Certificates - Sole Proprietor, Partners, & Discontinuance

Business Certificate for Sole Proprietor

INSTRUCTIONS FOR FILING A BUSINESS CERTIFICATE
FOR A SOLE PROPRIETOR

  1. This certificate is required for registering a business name for an individual.
  2. Download this certificate.
  3. Contact this office, via correspondence, in person, or telephone to check availability of the desired business name.
  4. Complete the form.  Please note that the business must be physically located in Putnam County to qualify for filing in this office.  P.O. boxes are not acceptable to determine business location
    (DO NOT SIGN THE CERTIFICATE UNLESS IN THE PRESENCE OF A NOTARY PUBLIC!!).
  5. Sign the certificate before a notary public.  Please note that notary publics are available at the Putnam County Clerk’s Office (bring proper photo identification with you to ensure proper execution of the certificate).
  6. Bring or mail your certificate to the Putnam County Clerk’s Office at 40 Gleneida Avenue, Room 100, Carmel, New York 10512 for filing.
  7. The fee for filing is $25.00 for each certificate and $4.00 for each certified copy issued (it is advisable to request 2 certified copies; one for display at the place of business and one to be presented to a bank for a business banking account).
  8. Any questions or concerns should be directed to the licensing division at 845-225-3641 extension 307.

Business Certificate for Partners

INSTRUCTIONS FOR FILING A BUSINESS CERTIFICATE
FOR PARTNERS

  1. This certificate is required for registering a business name for partners.
  2. Download this form.
  3. Contact this office, via correspondence, in person, or telephone to check availability of the desired business name.

  4. Complete the form.  Please note that the business must be physically located in Putnam County to qualify for filing in this office.  P.O. boxes are not acceptable to determine business location
    (DO NOT SIGN THE CERTIFICATE UNLESS IN THE PRESENCE OF A NOTARY PUBLIC!!).

  5. Each partner must sign the certificate before a notary public.  Please note that notary publics are available at the Putnam County Clerk’s Office (bring proper photo identification with you to ensure proper execution of the certificate).

  6.  Bring or mail your certificate to the Putnam County Clerk’s Office at 40 Gleneida Avenue, Room 100, Carmel, New York 10512 for filing.

Discontinuance of Business

INSTRUCTIONS FOR FILING A CERTIFICATE OF
DISCONTINUANCE OF BUSINESS

  1. This certificate is required for discontinuing a business filed in the Putnam County Clerk’s Office.

  2. Download this certificate
  3. Complete the certificate (DO NOT SIGN THE CERTIFICATE UNLESS IN THE PRESENCE OF A NOTARY PUBLIC!!).

  4. Sign the certificate before a notary public.  Please note that notary publics are available at the Putnam County Clerk’s Office (bring proper photo identification with you to ensure proper execution of the certificate).

  5. Bring or mail your certificate to the Putnam County Clerk’s Office at 40 Gleneida Avenue, Room 100, Carmel, New York 10512 for filing.

  6. There is no fee for filing the discontinuance certificate.  However, there is a $4.00 for each certified copy issued (it is advisable to request 2 certified copies; one your records and one to be presented to a bank for proper closure of the business banking account).

  7. Any questions or concerns should be directed to the licensing division at 845-225-3641 extension 307.
